These Terms & Conditions ("Terms") govern access to and use of the
B2B wholesale marketplace platform ("Platform") operated by
Navabharat B2B Online Private limited ("Company",
"we", "us"). The Platform enables registered
Suppliers and Buyers (retailers) to discover products,
negotiate wholesale pricing, place bulk orders, arrange delivery and manage payments.
By registering a business account or otherwise using the Platform, you ("
User", "you") agree to be bound by these Terms and our
Privacy Policy. If you do not agree, please do not use the Platform.
This Platform is available strictly for business-to-business (B2B) use.
It is not intended for individual consumer/retail purchases, and all Users represent that
they are registering on behalf of a legitimate business entity.
1Eligibility & Account Registration
- You must be a duly constituted business entity (proprietorship, partnership, LLP, company, or equivalent) authorised to enter into binding contracts under applicable law.
- Registration requires a valid mobile number verified via OTP, and accurate business details.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your account.
- You must promptly notify us of any unauthorised use of your account.
- One business may not maintain multiple duplicate accounts without our written consent.
2KYC & Business Verification
- Suppliers and Buyers must complete KYC verification, including submission of GSTIN and/or shop/trade licence and other requested documents.
- We reserve the right to approve, reject, suspend or request re-verification of any KYC submission at our sole discretion.
- Providing false, incomplete or fraudulent KYC information is grounds for immediate account suspension or termination.
- Access to certain features (bulk ordering, business credit, listing products) may be restricted until KYC is approved.
3Supplier & Buyer Obligations
3.1 Suppliers
- Suppliers are solely responsible for the accuracy, legality, and authenticity of their product listings, pricing, quantity, images and specifications.
- Suppliers must honour listed wholesale pricing, minimum order quantities (MOQ) and stock availability shown on the Platform.
- Suppliers must not engage in undercutting, fraudulent pricing, counterfeit listings, or listing of restricted/prohibited products.
- Suppliers are responsible for fulfilling confirmed orders within the committed timelines and for the quality and authenticity of goods supplied.
3.2 Buyers
- Buyers must place orders in good faith and are responsible for reviewing product details, MOQ and pricing before confirming an order.
- Buyers are responsible for providing accurate delivery addresses and being available to receive deliveries.
- Repeated cancellations, refusal of deliveries, or misuse of the returns process may result in restricted account privileges.
4Product Listings & Pricing
All product listings, wholesale/bulk pricing, and product variants (size, quantity,
pack) are set and maintained by Suppliers, subject to our category and pricing policies.
We may review, edit, restrict, feature or remove listings that violate our policies,
including listings involving prohibited goods, misleading pricing, or duplicate/fraudulent
catalog entries. Displayed prices are exclusive of applicable taxes (e.g. GST) unless
stated otherwise, and taxes will be added at checkout as applicable.
5Orders, MOQ & Negotiation
- Orders are subject to the Minimum Order Quantity (MOQ) and stock availability set by the Supplier.
- Where a negotiation/chat feature is available, any price agreed through negotiation is binding once confirmed by both parties and reflected in the order.
- An order is confirmed only upon successful payment authorisation (or approved credit terms) and Supplier acceptance.
- We may cancel or hold orders that appear fraudulent, involve pricing errors, or breach these Terms.
- Repeat orders and order history are made available to Buyers for convenience but do not guarantee future pricing or availability.
6Payments, Credit & Pay-Later
- The Platform supports multiple payment modes, including UPI, card, net banking and, where enabled, Cash on Delivery.
- Business credit / Pay-Later facilities, where offered, are subject to separate credit-limit approval, eligibility checks and repayment terms; unpaid credit balances may accrue charges as disclosed at the time of approval and may affect future ordering privileges.
- Invoices are generated for each order in accordance with applicable GST requirements.
- Supplier payouts are processed as per the settlement cycle communicated on the Platform, subject to deduction of applicable commission, taxes and adjustments (e.g. refunds, penalties).
- We are not liable for delays caused by third-party payment gateways, banks or financial institutions.
7Offers, Discounts & Coupons
Platform-wide offers, category/product discount rules and coupon codes are configured by
the Company and/or Suppliers and are subject to specific eligibility conditions, validity
periods and usage limits, which will be displayed with the offer. Offers may be modified,
suspended or withdrawn at any time without prior notice, and are not applicable in
conjunction with other offers unless expressly stated.
8Delivery & Logistics
- Delivery timelines, shipping charges and coverage are estimated based on the delivery address, product category and Delivery Partner availability, and are not guaranteed unless expressly committed.
- Live tracking, where available, reflects the Delivery Partner's reported location and may be subject to delays.
- Risk in goods passes to the Buyer upon delivery and acceptance, except where a valid return is initiated as per Section 10.
9Returns, Refunds & Disputes
- Return eligibility, timelines and conditions (e.g. damaged, defective, or incorrect goods) are as displayed on the relevant product/order page.
- Return requests must be raised within the stated return window through the Platform.
- Approved refunds will be processed to the original payment method or as store/business credit, within the timelines disclosed on the Platform.
- Disputes between Buyers and Suppliers (e.g. quality, quantity or delivery discrepancies) may be escalated through the Platform's dispute resolution process; our decision on such disputes, made in good faith based on available evidence, shall be final for Platform purposes.
- We reserve the right to apply penalties to a Supplier or Buyer account for repeated policy violations identified through the returns/dispute process.
10Delivery Partner Terms
Delivery Partners onboard subject to our approval, verification and performance
monitoring criteria. Delivery Partners must comply with assigned delivery zones,
reporting requirements and conduct standards. We may suspend, penalise or terminate a
Delivery Partner's access for poor performance, policy violations, or safety concerns.
11Prohibited Activities
- Listing or ordering counterfeit, illegal, restricted or unsafe goods.
- Circumventing the Platform to complete transactions off-platform to avoid fees, where prohibited by these Terms.
- Submitting false KYC, pricing or catalog information.
- Attempting to interfere with Platform security, scrape data, or reverse-engineer the Platform.
- Harassing, threatening or abusing other Users, Delivery Partners or Company staff through the communication module.
- Manipulating ratings, reviews or the offer/coupon system.
12Intellectual Property
The Platform, including its software, design, trademarks and content (excluding
User-submitted catalog content), is the property of the Company or its licensors and is
protected by applicable intellectual property laws. Suppliers retain ownership of their
product content but grant the Company a non-exclusive licence to display, reproduce and
distribute such content on the Platform for the purpose of operating the marketplace.
13Platform & Admin Rights
The Company, through its administrative functions, reserves the right to: approve or
reject business/KYC registrations; activate, suspend or block accounts; approve or reject
product listings; monitor pricing to prevent undercutting or fraud; remove restricted or
duplicate products; manage platform-wide offers and discount rules; review and resolve
returns, refunds and disputes; and manage Delivery Partner onboarding and performance,
all in accordance with these Terms and applicable law.
14Disclaimers & Limitation of Liability
The Platform is provided on an "as is" and "as available" basis. While we facilitate
transactions between Suppliers and Buyers, we are not a party to the underlying sale
contract between them and do not guarantee the quality, safety, legality or authenticity
of products listed by Suppliers. To the maximum extent permitted by law, the Company
shall not be liable for any indirect, incidental, special or consequential damages
arising from use of the Platform, delays in delivery, disputes between Users, or
third-party service failures (including payment gateways and Delivery Partners). Our
aggregate liability for any claim arising from these Terms shall not exceed the fees
actually paid to us in connection with the specific transaction giving rise to the claim.
15Indemnification
You agree to indemnify and hold harmless the Company, its officers, employees and agents
from any claims, damages, losses or expenses (including reasonable legal fees) arising
from your breach of these Terms, your listings or products, your violation of applicable
law, or your interactions with other Users or Delivery Partners.
16Suspension & Termination
We may suspend or terminate your account, with or without notice, for breach of these
Terms, suspected fraud, repeated policy violations, non-payment, or as required by law.
You may close your account at any time by contacting Support, subject to settlement of
pending orders, payouts or credit balances. Sections that by their nature should survive
termination (including IP, liability, indemnification and dispute resolution) will
continue to apply.
17Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Subject to any mandatory consumer/business
protection provisions, courts at [YOUR JURISDICTION CITY], [YOUR STATE] shall have exclusive jurisdiction
over disputes arising out of or relating to these Terms or use of the Platform. Users are
encouraged to first raise concerns through the Platform's support and dispute-resolution
process before pursuing other remedies.
18Amendments
We may revise these Terms from time to time to reflect changes in our Services, business
practices, or legal requirements. Material changes will be notified via the Platform or
registered contact details. Continued use of the Platform after changes take effect
constitutes acceptance of the revised Terms.
